Abstract: Chinese private company came into declining after the development in the early time of reform and opening up.Taking the duty and benefit's relationship,credit culture and the government's economic ethics as the research method,the purpose of the paper is to find the way of administration.From the research,we know that the key of the inside and outside power which can really prevent the private company's declining phenomenon is to strengthen the private company and government's economic ethics and its regulation construction.
