一人公司为股东担保法律规制的风险范式研究

Research on the Problems of One-person Limited Liability Companies Providing Guarantees for Shareholders by the "Risk Research Paradigm"

摘要: 一人公司及公司担保制度深刻镌印着公司法发展的时代印迹,所诱导性地引发的一人公司为股东担保问题需要深入探究。遵循“风险研究范式”,基于一人公司为股东担保的利益不当流失风险,应将一人公司为股东担保纳入法律规制视野,而现行公司法等相关法律法规却存在“立法漏涧”,最终需要通过建立合理的法律制度,限制或减少一人公司为股东担保所引发的风险,实现公司法上的利益平衡。

Abstract: Some related legal systems(such as one-person limited liability companies and company providing guarantees) reflect the developing process of the company law,and indicate the importance of the research on the problems.On the basis of the "Risk Research Paradigm" and the consideration of the improper loss risk of interests aroused,these problems should be put into the legal regulation fields. Finally,the related and reasonable legal systems could limit or reduce the risks aroused by one-person limited liability companies providing guarantee for shareholder.The balance of the related legal subjects' interests would be achieved.
