Abstract: This paper discusses the business concept,the delimitation of business transfer,the protection of employee's rights,as well as the perfection for platform of business transfer etc. through comparative analysis.The study shows that there are some illegal and irregular factors impeding the smooth processing of business transfer in practice because of lack of special rules for business transfer in our country.Therefore,China's legislature should learn from foreign laws and enact the comprehensive,clear system of business transfer as soon as possible to regulate and guide the increasing activities of business transfer.
